THIS TERMS OF USE AGREEMENT (the “Agreement”) constitutes a legally binding agreement by and between

Ivy Drive Studio, a company organized under the laws of France (“Ivy Drive Studio”), and the client, whether personally or on behalf of an entity (“Client”), with regard to access and use of Ivy Drive Studio’s website: www.ivydrive.studio/ (the “Website”) and any other media form, channel, mobile website, or mobile application related, linked, or otherwise connected thereto. Failure to agree and adhere to all of the terms, conditions, and obligations contained herein results in the express prohibition of the Client’s use of the Website, and the Client is ordered to discontinue use immediately.


1. Intellectual Property Rights


Unless otherwise indicated, the Website is the property of Ivy Drive Studio, and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics of any nature and regardless of format (herein, collectively or individually, the “Content”) and the trademarks, service marks, and logos contained therein (the “Marks”) are owned and controlled by Ivy Drive Studio and are protected by copyright and trademark laws and any other applicable intellectual property law or regulation of France, foreign jurisdictions, and international conventions. The Content and Marks are provided “As-Is” for your information and personal use only. Except as expressly provided herein, no part of the Website and no Content may be copied, reproduced, aggregated, republished, uploaded, posted, displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without Ivy Drive Studio’s express prior written permission. Ivy Drive Studio reserves all rights in the Website, Content, and Marks.


2. Ownership of Materials


Notwithstanding Ivy Drive Studio’s ownership of Submissions, as described in Paragraph 6 (“Client Feedback”), all design and original source files created on Client’s behalf (“Projects'') belong to Client, and Client shall be the sole owner of the copyright for all Projects. Client warrants that any and all materials provided to Ivy Drive Studio as examples or as material to be incorporated into a project during the design process are owned by Client and do not infringe on or misappropriate any third party’s rights, including, but not limited to, all intellectual property rights and any right of publicity.


3. Third-Party Fonts


In the event that any Project incorporates fonts that are not owned by Ivy Drive Studio and require a commercial license for Client to legally reproduce, distribute, or publicly display the Project (“Third-Party Font(s)”), Ivy Drive Studio will inform Client in writing that one or more Third-Party Fonts have been incorporated into the Project and that Client will need to purchase one or more licenses for the Third-Party Fonts from the rights-holder(s) of said Third-Party Fonts in order to legally reproduce, distribute, or publicly display the Project. Said notice will include information sufficient for Client to identify which licenses are required and who to contact in order to purchase said licenses. So long as Ivy Drive Studio has informed Client of the incorporation of Third-Party Fonts as described above, Client assumes all responsibility for any consequences as a result of a failure by Client to purchase one or more licenses for any Third-Party Fonts incorporated into a Project.


4. User Representations


By using the Website, Client represents and warrants that: Client possesses the legal capacity and agrees to comply with these Terms of Use; Client is not a minor in the jurisdiction of their residence; Client will not access the Website through automated or non-human means; Client will not use the Website for any illegal or unauthorized purpose; and Client’s use of the Website will not violate any applicable law or regulation.


5. Prohibited Activities


Clients must use the Website solely for its intended purposes and strictly within the bounds of legal and ethical guidelines. Specifically, clients are prohibited from:

  • Unauthorized use of the Website or its content.

  • Tampering with or circumventing Website security and privacy measures.

  • Engaging in activities that directly compete with Ivy Drive Studio or infringe upon its operations.

  • Attempting to reverse engineer, decipher, or otherwise extract source code or underlying structures of the Website.

  • Introducing harmful software or interfering with the operation and maintenance of the Website.

  • Engaging in behavior that disparages, harms, or unlawfully threatens or harasses anyone associated with Ivy Drive Studio.


6. Client Feedback


Client acknowledges and agrees that any questions, comments, suggestions, or other feedback or submission (each a “Submission”) shall be the sole property of Ivy Drive Studio. Ivy Drive Studio is under no obligation to maintain the confidentiality of a Submission. Ivy Drive Studio shall be the exclusive owner of all rights related to the Submission, except to the extent that rights are granted to Client under Section 2 (“Ownership of Materials”). Ivy Drive Studio may, at its sole discretion, use and disseminate a Submission for any lawful purpose without seeking permission, acknowledgment, or offering compensation to the Client. Client confirms that they have the right to provide the Submission and hereby waives all claims against Ivy Drive Studio for its use of the Submission in line with these terms.


7. Service Delivery


Client Onboarding and Design Requests: Upon selecting a subscription plan or accepting a quote for a one-off project, clients are immediately integrated into our workflow. Ivy Drive Studio will provide a private Trello link for submitting design requests. Clients have the option to initiate an initial meeting to set project requirements or proceed asynchronously, utilizing text communication for any inquiries. Our commitment to flexibility extends to communication tools; whether through Discord, Slack, Trello, iMessage, or email, we adapt to the client's preferred platform.


Unlimited Revisions: We offer truly unlimited revisions for ongoing membership clients, allowing for extensive flexibility in refining designs. Each revision timeline is communicated upfront, ensuring clarity on delivery expectations. For one-off projects, we initially offer up to five revisions but remain adaptable to client needs. Our in-house creation process facilitates swift adjustments, emphasizing our dedication to client satisfaction.


Project Turnaround: Ivy Drive Studio maintains an average 48-hour turnaround time for tasks, irrespective of project size. Larger undertakings, such as complete website redesigns, are strategically segmented into manageable requests to maintain efficiency. Our approach is founded on transparency and communication, ensuring clients are always informed about project timelines.


Subscription Pause and Resume: Subscriptions can be paused at any point, with the service duration adjusted accordingly. Clients have the flexibility to resume their services within 12 months, extending leniency based on individual requests. This policy underscores our commitment to accommodating our clients' evolving needs.


Project Execution and Additional Fees: Our team, spanning France, the UK, and the USA, handles all projects in-house, utilizing publicly available libraries or elements when necessary. Except for web development, which is available for an additional $1,000 per month, nearly all requests are completed without extra fees, ensuring transparency and value.


Client Feedback and Project Adjustments: We embrace flexibility in project direction changes, ready to pivot as client visions evolve. Whether recycling elements or starting anew, we prioritize efficient realignment with client objectives, keeping them informed of any timeline implications.


Emergency or Rush Projects: Urgent projects do not incur additional costs. Clients are encouraged to communicate any critical deadlines, and while we strive to meet all timelines, transparency regarding feasibility remains our priority.


Service Availability: With our team distributed across three countries, we ensure that there's always someone available to progress on projects. We commit to notifying clients well in advance of any exceptions to our standard availability.


Confidentiality and Project Showcasing: Confidentiality is paramount at Ivy Drive Studio. Any information shared by clients is kept secure, with disclosures made only upon explicit approval. For projects we wish to showcase, anonymization and client validation are prerequisites, ensuring respect for privacy and confidentiality.


8. Service Availability


At Ivy Drive Studio, we are dedicated to offering our clients consistent, high-quality service while balancing the well-being of our team. Below, we detail our approach to ensure service standards are met, even amidst the need for scheduled downtime and in the face of unforeseen circumstances.


Global Coverage and Working Hours: Thanks to our geographically diverse team, spanning the United States and Europe, we offer extended coverage that typically allows us to be reachable for about 10-12 hours a day. This setup ensures almost constant availability, making us accessible to our clients at most times, accommodating various time zones and providing flexibility in our service delivery.


Unexpected Absences and Delays: While we've proudly maintained a record of no unexpected delays, should any arise, clients will be promptly notified through their preferred communication channel. Our commitment is to transparency and minimal disruption, ensuring clients are informed and alternative arrangements are made to keep projects on track.


Client Load and Project Prioritization: Projects are prioritized based on client deadlines, with a system in place to tackle requests typically within five hours of receipt. This efficiency is part of our commitment to meeting client needs promptly, ensuring that each project receives the attention and urgency it deserves.


Scheduled Downtime and Holidays: Our operational model allows us to work seven days a week, ensuring continuous progress on client projects. Scheduled downtime is limited to major holidays, such as Christmas and New Year's Eve, during which we'll inform clients well in advance to adjust project timelines accordingly.


High-Priority Requests and Rush Projects: For urgent projects or tight deadlines falling around our scheduled downtime, we strive to accommodate such requests to the best of our ability. Our flexible approach and dedication to client satisfaction guide our efforts to meet these critical deadlines without compromising the quality of our work.


Communication Flexibility: Understanding the importance of timely and effective communication, we maintain a flexible approach throughout the day and night. Our asynchronous communication model (including messages and texts) ensures that clients can reach us conveniently, regardless of their geographic location.


Service Delivery Across Time Zones: To address the challenges posed by time zone differences, our service delivery is strategically managed by regional teams. U.S.-based clients are supported by our New York City team, while European clients benefit from the support of our teams in Paris and London, ensuring timely responses and progress on projects.


9. Account Management


Subscription Adjustments: At Ivy Drive Studio, we ensure our clients enjoy the utmost flexibility in managing their subscriptions. Clients may switch to a different plan at any time by notifying us via email, with changes taking effect at the start of the next billing cycle. There is no notice period required for plan adjustments, allowing you to seamlessly align our services with your evolving needs.


Pausing a Subscription: Subscriptions can be paused at any time, with no restrictions on the duration of the pause. If there are ongoing design requests at the time of pausing, these too will be paused and resumed once the subscription is reactivated. This policy is designed to offer flexibility, ensuring you don't lose any value from your subscription while accommodating your scheduling needs.


Cancelling a Subscription: Cancellations can be made immediately, effectively preventing auto-renewal for the next month. Refunds are issued under two conditions: if the subscription is cancelled within seven days of enrollment and no design requests have been completed. While our policy typically does not allow refunds beyond these conditions, we remain open to flexibility and will assess situations on a case-by-case basis.


Changes to Price and Subscription Plans: We reserve the right to adjust our subscription plans and pricing. However, current subscribers will be grandfathered in at their current rates, safeguarded from any price increases. Official communication regarding any changes will be sent through your preferred channel, ensuring you're well-informed and able to make decisions about your subscription.


One-time Purchase Options and Special Pricing: For clients transitioning from a one-time purchase to an unlimited plan, we offer special pricing discounts. The investment in your one-off project will be considered in determining the fair pricing for the first month of your new unlimited plan. This approach ensures a seamless transition and acknowledges your previous commitments to our services.


Special Arrangements: Custom pricing and service terms are available to meet unique client needs, including options for white-label services. These bespoke arrangements are negotiated individually, ensuring they align with both your requirements and our capabilities.


Updating Account Information: Clients are responsible for keeping their account information current. This includes personal details, billing information, and contact preferences, which can be updated through the account portal. Accurate information is crucial for uninterrupted service and precise billing.


10. Privacy Policy


Our Privacy Policy, detailing how we handle your personal data, is accessible at the footer of our main page. By using Ivy Drive Studio's Website, you agree to the practices outlined in our Privacy Policy. While our operations are based in France, international clients should note that their data will be processed in accordance with French regulations. We are committed to protecting the privacy of all our clients, including adhering to strict guidelines regarding the collection of information from minors. 11. Returns, Refunds, and Chargeback Policy


Refunds for Subscription Plans: Ivy Drive Studio values client satisfaction and understands the need for flexibility. Clients can cancel their subscription at any time, with the ability to request a refund under specific conditions: if the subscription is cancelled within seven days of enrollment and no design requests have been completed. Refunds outside these conditions are subject to our discretion and evaluated on a case-by-case basis. For approved refunds, a cancellation fee may apply, reflecting the administrative costs and services rendered up to that point. Upon issuing a refund, all designs and materials provided by Ivy Drive Studio must cease being used by the client, as they remain our intellectual property.


Refund for One-offs: Due to the nature of our work and the immediate allocation of resources to one-off projects, refunds are not available for one-time payment plans. However, Ivy Drive Studio is committed to client satisfaction and will consider partial refunds on a case-by-case basis if there are extenuating circumstances. In such instances, the decision to grant a partial refund will take into account the amount of work already completed and the specific situation at hand.


Chargebacks: We encourage clients to reach out directly to resolve any billing disputes or concerns before initiating a chargeback. In the event of a chargeback, Ivy Drive Studio will contest it with detailed documentation of the services provided and the contractual agreement. Clients are responsible for any fees or expenses incurred by Ivy Drive Studio due to chargebacks. Failure to settle these fees may result in legal action to recover owed amounts and any related damages. Cases of fraudulent or unjustified chargebacks will be met with legal action to recoup the funds and additional damages suffered by Ivy Drive Studio.


Modification of Policy: Ivy Drive Studio reserves the right to modify the returns, refunds, and chargeback policy at any time. Continued engagement with our services following any policy updates constitutes acceptance of the revised terms.


12. Referral Program Terms


Introduction to the Referral Program: At Ivy Drive Studio, we value referrals and wish to reward our loyal clients and partners who help our community grow. Our referral program is designed to thank you for introducing new clients to our innovative design services.


Eligibility and Reward: Under this program, for each new client referred to Ivy Drive Studio who spends a minimum of $3,000 on our services, the referrer will receive a one-time appreciation reward of $1,000. This reward is our way of saying thank you for contributing to our growth and success.


Qualifying Referrals: A referral qualifies for the $1,000 reward in the following scenarios:

  • The referred client subscribes to our unlimited design plans priced at $3,995 per month or $4,995 per month (including web development services).

  • The referred client commissions a one-off project with a total cost of at least $3,000.


Non-Qualifying Referrals: Referrals resulting in a client transaction of less than $3,000 do not qualify for the referral reward. For example:

  • If a referred client is quoted $2,000 for a one-off project, the referrer will not receive the $1,000 reward.

  • Referrals that result in the purchase of services below the $3,000 threshold are greatly appreciated but are not eligible for the financial reward. We will however decide on a case-by-case basis on a different way to reward the referrer.


Referral Reward Distribution: The $1,000 referral reward will be processed and distributed to the referrer after the referred client has completed payment of at least $3,000 towards Ivy Drive Studio services. The reward is subject to applicable tax laws and reporting requirements.


Program Participation: To participate in the referral program, clients must use the designated referral process outlined by Ivy Drive Studio, including the use of referral links or codes provided by Ivy Drive Studio. It is the responsibility of the referrer to ensure that the referred client mentions their referral at the time of initial contact or registration with Ivy Drive Studio.


Limitations and Conditions:

  • The referral reward is limited to one per new client referred. Multiple referrals resulting in multiple transactions from the same client do not qualify for additional rewards.

  • Ivy Drive Studio reserves the right to verify the eligibility of both the referrer and the referred client before issuing any referral rewards.

  • Referral rewards cannot be combined with other offers or discounts provided by Ivy Drive Studio.


Program Modifications and Termination: Ivy Drive Studio reserves the right to modify, adjust, or terminate the referral program at any time without prior notice. Participants will be informed of significant changes to the program terms. All participants in the referral program agree to be bound by these terms as well as any future modifications.


Agreement to Terms: By participating in the referral program, participants agree to the terms outlined above. These terms are part of Ivy Drive Studio’s broader Terms & Conditions and are subject to change. Participants are encouraged to review the terms regularly to understand their rights and obligations within the referral program.

Ivy Drive Studio reserves the right to update, modify, or eliminate content on our Website according to our operational needs and strategic direction. This includes making changes to our service offerings, pricing, and terms without prior notice to ensure our offerings remain relevant and competitive. 15. Service Availability and Website Access


While Ivy Drive Studio strives to ensure consistent and reliable access to our Website and services, we acknowledge that technical issues and unforeseen disruptions can occur. These interruptions may stem from factors beyond our control, including hardware malfunctions, software issues, or network problems. We cannot be held liable for any inconveniences, losses, or damages resulting from such disruptions. 16. Force Majeure


Ivy Drive Studio is committed to fulfilling our obligations to clients. In such instances, these challenges will not be considered a breach of our terms. We will inform clients of any service interruptions or expected delays as soon as possible, working diligently to resume normal operations and mitigate any impact on service delivery.


17. Responsibility for User Data


Clients are responsible for safeguarding their data, including any content uploaded, shared, or transmitted through our Website. Ivy Drive Studio implements robust security measures to protect client data on our platform. However, we cannot be held accountable for data loss or corruption that occurs due to external factors beyond our control. Clients should maintain backups and take precautionary measures to protect their information. Any loss or corruption of data does not entitle clients to claims against Ivy Drive Studio, underscoring the importance of personal responsibility in digital data management.


18. Electronic Communications, Transactions and Signatures

20. Showcasing Design Work


In celebrating the creativity and success of our collaborative projects, Ivy Drive Studio reserves the option to feature completed design works across our digital platforms, including but not limited to our website and social media channels. This visibility not only highlights our design capabilities but also showcases the innovative visions of our clients. Should confidentiality be a priority, clients are encouraged to discuss a Non-Disclosure Agreement (NDA) with us. An NDA will effectively exempt specific projects from being featured in our public portfolio, aligning with any privacy or exclusivity concerns.


21. Miscellaneous


The terms outlined herein, alongside any additional policies made available on our Website, constitute the entire agreement between Ivy Drive Studio and our clients. Our failure to enforce any of these terms should not be perceived as a waiver of rights. If any provision within these terms is found to be unenforceable or invalid, such determination will not affect the remainder of the terms, which will continue in full effect. Importantly, nothing within these terms is intended to, or shall be deemed to, establish any partnership, joint venture, employment, or agency relationship between Ivy Drive Studio and any client.

This setup ensures almost constant availability, making us accessible to our clients at most times, accommodating various time zones and providing flexibility in our service delivery.


Unexpected Absences and Delays: While we've proudly maintained a record of no unexpected delays, should any arise, clients will be promptly notified through their preferred communication channel. Our commitment is to transparency and minimal disruption, ensuring clients are informed and alternative arrangements are made to keep projects on track.


Client Load and Project Prioritization: Projects are prioritized based on client deadlines, with a system in place to tackle requests typically within five hours of receipt. This efficiency is part of our commitment to meeting client needs promptly, ensuring that each project receives the attention and urgency it deserves.


Scheduled Downtime and Holidays: Our operational model allows us to work seven days a week, ensuring continuous progress on client projects. Scheduled downtime is limited to major holidays, such as Christmas and New Year's Eve, during which we'll inform clients well in advance to adjust project timelines accordingly.


High-Priority Requests and Rush Projects: For urgent projects or tight deadlines falling around our scheduled downtime, we strive to accommodate such requests to the best of our ability. U.S.-based clients are supported by our New York City team, while European clients benefit from the support of our teams in Paris and London, ensuring timely responses and progress on projects.

Clients may switch to a different plan at any time by notifying us via email, with changes taking effect at the start of the next billing cycle. There is no notice period required for plan adjustments, allowing you to seamlessly align our services with your evolving needs.


Pausing a Subscription: Subscriptions can be paused at any time, with no restrictions on the duration of the pause. If there are ongoing design requests at the time of pausing, these too will be paused and resumed once the subscription is reactivated. This policy is designed to offer flexibility, ensuring you don't lose any value from your subscription while accommodating your scheduling needs.


Cancelling a Subscription: Cancellations can be made immediately, effectively preventing auto-renewal for the next month. Refunds are issued under two conditions: if the subscription is cancelled within seven days of enrollment and no design requests have been completed. While our policy typically does not allow refunds beyond these conditions, we remain open to flexibility and will assess situations on a case-by-case basis.


Changes to Price and Subscription Plans: We reserve the right to adjust our subscription plans and pricing. However, current subscribers will be grandfathered in at their current rates, safeguarded from any price increases. Official communication regarding any changes will be sent through your preferred channel, ensuring you're well-informed and able to make decisions about your subscription.


One-time Purchase Options and Special Pricing: For clients transitioning from a one-time purchase to an unlimited plan, we offer special pricing discounts. The investment in your one-off project will be considered in determining the fair pricing for the first month of your new unlimited plan. This approach ensures a seamless transition and acknowledges your previous commitments to our services.


Special Arrangements: Custom pricing and service terms are available to meet unique client needs, including options for white-label services. These bespoke arrangements are negotiated individually, ensuring they align with both your requirements and our capabilities.


Updating Account Information: Clients are responsible for keeping their account information current. This includes personal details, billing information, and contact preferences, which can be updated through the account portal. Refund for One-offs: Due to the nature of our work and the immediate allocation of resources to one-off projects, refunds are not available for one-time payment plans. However, Ivy Drive Studio is committed to client satisfaction and will consider partial refunds on a case-by-case basis if there are extenuating circumstances. In such instances, the decision to grant a partial refund will take into account the amount of work already completed and the specific situation at hand.


Chargebacks: We encourage clients to reach out directly to resolve any billing disputes or concerns before initiating a chargeback. In the event of a chargeback, Ivy Drive Studio will contest it with detailed documentation of the services provided and the contractual agreement. Clients are responsible for any fees or expenses incurred by Ivy Drive Studio due to chargebacks. Failure to settle these fees may result in legal action to recover owed amounts and any related damages. Cases of fraudulent or unjustified chargebacks will be met with legal action to recoup the funds and additional damages suffered by Ivy Drive Studio.

Qualifying Referrals: A referral qualifies for the $1,000 reward in the following scenarios:

  • The referred client subscribes to our unlimited design plans priced at $3,995 per month or $4,995 per month (including web development services).

  • The referred client commissions a one-off project with a total cost of at least $3,000.


Non-Qualifying Referrals: Referrals resulting in a client transaction of less than $3,000 do not qualify for the referral reward. For example:

  • If a referred client is quoted $2,000 for a one-off project, the referrer will not receive the $1,000 reward.

  • Referrals that result in the purchase of services below the $3,000 threshold are greatly appreciated but are not eligible for the financial reward. We will however decide on a case-by-case basis on a different way to reward the referrer.


Referral Reward Distribution: The $1,000 referral reward will be processed and distributed to the referrer after the referred client has completed payment of at least $3,000 towards Ivy Drive Studio services. The reward is subject to applicable tax laws and reporting requirements.


Program Participation: To participate in the referral program, clients must use the designated referral process outlined by Ivy Drive Studio, including the use of referral links or codes provided by Ivy Drive Studio. It is the responsibility of the referrer to ensure that the referred client mentions their referral at the time of initial contact or registration with Ivy Drive Studio.


Limitations and Conditions:

  • The referral reward is limited to one per new client referred. Multiple referrals resulting in multiple transactions from the same client do not qualify for additional rewards.

  • Ivy Drive Studio reserves the right to verify the eligibility of both the referrer and the referred client before issuing any referral rewards.

  • Referral rewards cannot be combined with other offers or discounts provided by Ivy Drive Studio.
